Overview

GENCO Supply Chain Solutions “GENCO”, one of the largest independent third-party logistics companies “3PL”, completed the acquisition of public-held ATC Technology Corporation “ATC” at the end of 2010. The acquisition effectively doubled the size of GENCO, and the company renamed itself GENCO ATC.

Challenge

While GENCO had a great deal of experience growing through the acquisition of small to medium-sized privately-held companies, the ATC deal was the first in which GENCO took a publicly-held company private. The size of the acquisition, the value of the potential synergies and the premium paid for ATC made it crucial for GENCO to integrate ATC fully into the organization in the shortest time possible.

Republic Partners’ Solution

Utilizing its deep understanding of merger integration, Republic Partners helped develop the GENCO ATC merger integration framework and worked closely with the two Vice Chairmen to facilitate the process. The integration framework covered all key facets of the business: financial, operational, sales and marketing, information technology and human resources. It took 21 teams working 18 months to complete more than 325 critical deliverables that were essential for maintaining smooth operations, retaining customers and employees and presenting a united front to customers and regulatory agencies.
